Abstract	Company in order to grow needs financing. The classic way is to acquire a credit from the bank. This is directly linked with the question of collateral what in case of the company is not the obvious choice. Another classic way of fi nuancing the company is the share issue. This solution is however linked with the question of ownership that is unavoidably diluted with every issue. Sometimes the company is on a excellent path of growth, does not want to disperse ownership, has already used all available asset for a collateral and still needs some capital because of the scale of the project. In this case the solution might be any of private capital sources. The possibility known since the 80’s is “mezzanine finance”. This is financing that combines some features of credit with some features of share issue and comes from the private investors. Because of its collateral, investment time range and the ways of running the company it is perceived to be appropriate for several years large projects generating sizeable and stable cash flows. This is as well a good path of development for the family run businesses where there is no evident heir and the management wishes to take over the company but lacks sufficient capital. Particularly in the times of crisis when the banks impose tight rules on credit policy and the stock exchange investors are reluctant to take any risks the mezzanine finance may be an answer for companies capital needs.

Abstrakt	Treścią pracy jest próba przedstawienia zmieniającej się problematyki rozważań naukowych w zakresie zarządzania przedsiębiorstwami. W drugiej połowie XX w. dominowały prace naukowe poświęcone ekonomice produkcji. W latach dziewięćdziesiątych XX wieku oraz pierwszej dekadzie XXI w. dominują prace poświęcone zarządzaniu przedsiębiorstwami w oparciu o miary jakościowe. Omówiono znaczenie kapitału w warunkach rozwiniętej gospodarki rynkowej. Dowiedziono, że ograniczenie wartości przedsiębiorstwa do oceny kapitału realnego pomija ważną cechę kapitału, jaką jest zdolność do jego pomnażania.
Abstract	This paper is an attempt to present the changing subject matter of scientific considerations on management of enterprises. In the second half of the 20th century research papers focused on production economics. In the 1990.s and in the first decade of the 21st century the issues of management of enterprises based on quality measures have predominated. This study discusses the role of capital in the developed market economy. It was shown that a limitation of the value of an enterprise solely to the evaluation of the real capital neglects an important property of capital, which is its accumulation capacity.

Abstract	The paper assesses the cash flow structure of food industry companies from Lower Silesia region in 2002–2004. The research aimed to determine the directions of net cash flow in different types of business activity, namely: operational, investment and financial. Moreover the way the financial gross margin was generated has been assessed. The net profit worked out by the enterprise is not only one measure of its financial condition and not only condition of its existence. There are other important factors, out of which the cash flow is very important. The cash flow determines the liquidity and solvency of the company. The Cash Flow Account describes the flow of money between the balance at the beginning and the balance at the end of the period. It gives the possibility to assess the company’s ability to generate the cash. In short period the cash not the profit is of key importance for a company. Moreover it shows changes that took place in certain positions of balance sheet due to cash flows. It allows also to determine main direction of outflow of cash and to analyze the mechanisms which influence the financial situation of a company.

Abstract	Bankruptcy as a mechanism of natural selection is an inherent element in business. This relates to all business entities, hence also agribusiness entities. The past research on financial hazards to enterprises did not include financial data of this type of entities. In view of the specificity of the agricultural sector it is worthwhile to consider the extent to which the existing financial hazard models allow to make accurate forecasts of bankruptcy of enterprises. The paper presents the selected early warning models and the results of in-house research, designed to analyse the financial standing of several enterprises with the use of those tools. Furthermore, the paper indicates the differences and similarities in the evaluation of the economic condition with the use of specific models

Although there are available different sources of capital., i.e. business incubators, technological parks, special aid programs, those are not sufficient. In developed countries are well functioning formal and unofficial markets of venture capital that support business pioneer initiatives. In Poland this markets are in infancy. Abstract	The paper aims to assess the utilization of subsidies from EU funds by farmers in small-farm region conditions. The study shows that farmers were actively applying for financial support for their farm business activities within programmes implemented to the end of 2006. It provides evidence that farmers were swiftly reacting to emerging opportunities and did not hesitate to made investment decisions while availing themselves of the available EU funds. The paper argues that in the small-farm region, farms of higher economic strength, those having more economic leverage, were able to acquire more funds for investments, which could increase their competitiveness

Abstract	The organizational environment comprises a wide range of forces that can affect organizational performances. These forces differ between organizations according to the geographical location, industry and market served. Multinational firms face different situations from that of small local business. The forces affecting business organizations are different from those influencing non-profit organizations, the forces affecting the electronics industry are different from those influencing the food industry. Even within the same industry forces will vary. Organizations need to understand the forces that affect them do that can plan for the future. The various environmental forces exist at different levels. At the outer level is institutional environment, then organization’s external environment (macro environment). At this level there are a range of economic, technological, social, cultural, political and international factors that generally affect all organizations. Then there is the organization’s most immediate competitive environment, which is the specific environment comprising the organization’s customers, suppliers and competitors. Spanning both internal and external environments is a third set of forces exerted by various stakeholders. All environments forces can affect many areas of the organization, such as its strategy (for example its choice of geographical markets), its structure, or its production methods. For this reason it is vital for management to undertake environmental analysis to assess: how the environment has changed, how it is likely to change, what impacts these changes are likely to have on the organization, its customers and markets

Abstract	The aim of this paper is to propose a discussion about the innovation and rational managing principle. The foundation for beginning this consideration begs the question – why Professor Oscar Lange used this name, but did not determine that there is a principle of ways to improve the effectiveness of managing in economics. If indeed there is a rational managing principle, also in the meaning ex ante, and we take into consideration such innovation which enlarge the financial outcome of a given economic entity, it seems that the rational managing principle, so far, does not exhaust the complexity of this issue. In author’s opinion the rational managing principle makes easier, on the one hand, an opinion of existing changes, on the other hand planning the production improvement in short, mid, and long – lived depiction. It allows with economic point of view to concentrate on problems from the past and on these which have short term, operation and strategic meaning. Furthermore, production improvement because of innovation is for the entity the base giving the chance to exist during the time. In the contemporary macroeconomic condition the economic entity’s success is existing on the market and not to worsen the financial condition. With the all point of view, in the entirely calculus, existing of the economy entity is not only financial profitable but has first of all fundamental social meaning. Predictable escalation of liberalisation in the EU agricultural policy will cause necessity the acceleration of production’s rationalisation in all the farms. The decreasing unit cost could be very difficult process, demanding the farming which is based on knowledge

Abstract	Constructing book keeping, planning and controlling systems in rural farms is difficult due to their specific features. Apart from its organic nature, which results from the productional and organizational complexity of a farm, family joint effort to operate farm activities and paternalistic ideology put into practice are another, important features. In consequence, even though farms are treated as businesses, its operations have limitations resulting from them being run by families. In the article there was presented the rural farm definition understood as an economic unit comprising of – on the one side – agricultural farm (enterprise), and the other side – household property. The proposed system of documentation and information gathering for our farmers has to be simple and adjusted to capabilities of a farmer. Agricultural Calendar is the most natural evidence tool, used for documenting recent and planned operations. A proposal of evidencing and data processing in the Agricultural Accounting Calendar is presented in the paper. This form of gathering knowledge about a farm and its operations was positively evaluated and accepted by farmers. During the creation of the system an emphasis was put on the functionality of the system. The scope of data collected allows after integration with a planning system, to make a periodical control of variances between realized and planned values. It gives a possibility of learning and improving the existing farmers’ knowledge

Abstract	The paper aims to analyze the possibility of applying franchising to finance activities of companies in Poland. It argues that one of the alternatives to commonly used external capital sources, which are often expensive and hard to gain, is franchising. It is a form of cooperation between legally and organizationally independent companies, from which one is the franchisor and the other one is the franchisee. The main issue of a franchise agreement is gaining, in exchange of agreed amount of money, entitlement of the franchisee to use the name, the brand and the knowledge of running a business of the franchisor. Franchising is recognized as an attractive source of financing for the both sides of the agreement. For the franchisor it means no assets in market expansion, for the franchisee it is the way to limit the costs of running a business

Abstrakt	Przedstawiono wewnętrzne uwarunkowania rozwoju rolnictwa w Polsce na tle wybranych krajów Europy zachodniej. Dokonano oceny zasobów ziemi. Wskazano, że w porównaniu do wybranych krajów powierzchnia użytków rolnych w przeliczeniu na jednego mieszkańca należy do wyższych w Europie. Zasoby pracy są również bardzo wysokie, zbyt wysokie w stosunku do potrzeb. Także wyposażenie w siłę pociągową jest wysokie. Aktualny poziom zasobów czynników produkcji to silne strony polskiego rolnictwa. Słabą stroną polskiego rolnictwa jest niska średnia powierzchnia gospodarstw rolnych, kilkakrotnie niższa niż w porównywanych krajach. Pozytywnym zjawiskiem jest wzrost udziału ziemi w gospodarstwach o większej powierzchni, powyżej 20 ha użytków rolnych. Stwierdza się terytorialne zróżnicowanie produkcji zwierzęcej. Następuje specjalizacja regionalna. Ponad 50% pogłowia krów i trzody chlewnej skupiona jest odpowiednio w pięciu i trzech województwach.
Abstract	In the paper endogenous conditions for the development of agricultural sector in Poland in comparison with selected EU countries are discussed. It is indicated, that comparing to other countries area of agricultural land per capita is one of the highest in Europe. Large labor resources exceed the needs. Agriculture is well equipped with tractors. The present level of production factors can be considered as a strength of the sector. The weak point is a low, on average, farm size, several times lower than in the countries compared in the analysis. Increasing share of larger farms (above 20 ha) in the land use is a positive feature. Regional specialization and concentration in livestock production (over 50% of the total heard of cows and pigs is concentrated in five and three regions respectively) is stated.

Abstract	The aim of the paper is presenting and analysis the contemporary facts of agriculture development with the special reference to the globalization processes and European integration. The following issues have been discussed in this paper: main direction of structural changes and development trends in agriculture; the essence and main streams of globalization, globalization in agriculture and agribusiness sectors, regional integration as an element of globalization and as a way of protection from its negative outcomes, technological progress in agriculture as an integrated parts of globalization and importance of globalization for agriculture in Poland.

Abstrakt	W opracowaniu przedstawiono zarys historii oraz obecne kierunki rozwoju byłego Wydziału Ekonomiczno-Rolniczego, obecnie Nauk Ekonomicznych Szkoły Głównej Gospodarstwa Wiejskiego w Warszawie. Omówiono kierunki studiów prowadzone na Wydziale, a także ważniejsze badania naukowe i współpracę międzynarodową.
Abstract	In the paper the mine facto from history of Faculty of Economic Science (former Faculty of Agricultural Economics) Warsaw University of Life Science have been presented. Same other information are connected with present day, as directions of study (economy, management, finance and accounting, logistic) or directions of mine research (agricultural economics, rural area development, agribusiness enterprise economics and management), as well as international relationships on field of research and education.

Abstrakt	Przedstawiono najważniejsze kierunki działania Komitetu Ekonomiki Rolnictwa PAN w najbliższych latach. Wskazano na wiele niezbędnych działań, ze szczególnym uwzględnieniem podejmowania wszystkich ważnych problemów rozwoju nauki w zakresie ekonomiki rolnictwa, agrobiznesu i terenów wiejskich, wypracowywania poglądów na ważne tematy gospodarcze, przygotowywania ekspertyz dla ciał decyzyjnych, oddziaływania na rozwój młodych kadr naukowych, a także wykorzystania osiągnięć nauk ekonomicznych w rozwiniętych krajach Unii Europejskiej i USA do aplikacji w Polsce.
Abstract	In the paper the most important directions of AEC PAS development have been presented. It was showed lots of for agricultural economics scientific problems, connected not only with agriculture, but with agribusiness and rural area development as well. Agricultural Economics Committee have to prepare expertise for government, help for young doctoral to develop their skills, with use USA and EU experience on these field for implementation in Poland.

Abstrakt	Artykuł omawia podstawowe aspekty systemu franczyzy w kontekście wykorzystania tejformy działalnosci w agrobiznesie. Badania wykazały, że rolnicy, choć nie znają tej specyficznejformy współpracy jaką jest franczyza, wierzą, że można mieć pomysł na sukces finansowy wgospodarstwie rolnym oraz można być właścicielem takiego pomysłu. Najchętniej inwestowaliby wprodukcję zwierzęcą i działalność handlowo-usługową. Nie wykazują natomiast chęci dopodporządkowania się ścisłym procedurom narzuconym w ramach współpracy
Abstract	This article is describing selected aspects of franchising and its implementation in theagricultural activity of farmers. A research showed that farmers belied in the possibility of success inagriculture, even though they do not know the specific form of cooperation such as franchising. Themost popular amongst the farmers would be an investment in the animal production or trade andservice activities. They are not willing to follow the strict procedures by which they are bound in theframework of the franchise type cooperation
